Terms of Service

1. Who these terms are with

These terms are between you and [registered entity name — to confirm before launch] ("Aerys", "we", "us"), operator of https://aeryssoftware.com and the Aerys Software platform.

2. Your account

Access to Aerys is granted by application. You are responsible for the accuracy of the business information you provide, for keeping your credentials secure, and for the actions taken under your account — including by your staff and crew members.

Crew members access a restricted view through an access link issued by your account, with an optional PIN. You are responsible for issuing, revoking and safeguarding those links and PINs.

3. Subscription and billing

Paid plans are billed monthly in advance. Plans include a monthly allocation of credits, which meter AI-assisted features such as estimate drafting, mockups and document analysis. Unused credits do not carry over between billing periods unless your agreement says otherwise.

You may cancel at any time. Cancellation takes effect at the end of the current billing period and we do not pro-rate partial months.

4. Payments you take from your customers

Aerys lets your customers approve and pay for work. Those payments are processed by Stripe under your own Stripe account, and the funds are yours. We are not a party to the contract between you and your customer, we do not hold your customers' funds, and we are not responsible for the work you perform or for disputes about it.

Stripe's own terms apply to your use of that account, and Stripe charges its own processing fees. Where our agreement with you provides for a platform fee on processed payments, it will be stated in that agreement before any fee is charged.

5. Your data

Your customers, estimates, jobs, catalog and pricing remain yours. We process them to operate the service, as described in our Privacy Policy. You can export your data, and we will provide it on request if you leave.

We do not sell your data, and we do not use your customer lists to market to your customers.

6. Acceptable use

You may not use Aerys to send unsolicited commercial email, to contact people who have not inquired about or purchased your services, or to upload content you do not have the right to use. The product is not built for cold outreach and using it that way is a breach of these terms.

You may not attempt to access another customer's data, probe or interfere with the service's security, or resell access to your account.

7. AI-assisted features

Estimate drafting, mockups and document analysis produce drafts. They are tools for review, not authorities. You are responsible for checking any price, quantity, scope or representation before you send it to a customer or rely on it commercially. We make no warranty that generated output is accurate or complete.

8. Availability and support

We aim to keep the service available continuously but do not guarantee uninterrupted access. We may perform maintenance, and we will give notice of planned downtime where we reasonably can.

9. Limitation of liability

To the extent permitted by law, our total liability to you for any claim arising out of or relating to these terms or the service is limited to the fees you paid us in the twelve months before the claim arose. We are not liable for indirect, incidental or consequential loss, including lost profits or lost business.

10. Changes

We may update these terms. Material changes will be notified to the email on your account before they take effect, and continued use after that date constitutes acceptance.

11. Governing law

These terms are governed by the laws of [governing jurisdiction — to confirm before launch], and the courts of that jurisdiction have exclusive jurisdiction over any dispute.
